1. About these terms
These Terms of Service ("Terms") govern your access to and use of "Counsel AI", an AI-assisted legal-workflow software-as-a-service product operated by Jadthena Limited. By creating an account, subscribing, or using the Service you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind that organisation.
2. What "Counsel AI" is — and what it is NOT
"Counsel AI" uses large language models to produce draft legal work product — for example NDA triage, contract and DPA review, and compliance screening — from documents and prompts you supply.
"Counsel AI" does not provide legal advice and is not a substitute for a qualified lawyer. No lawyer–client relationship is created by your use of the Service. Every output is a draft that must be reviewed by a qualified legal professional in the relevant jurisdiction before it is relied upon. You are solely responsible for any decision you take based on an output. AI outputs can be inaccurate, incomplete, or out of date.
3. Eligibility and accounts
The Service is available to the public worldwide, subject to these Terms and applicable law. You must be at least 18 and capable of forming a binding contract. You are responsible for the security of your account and for all activity under it. Sign-in uses a secure magic-link (passwordless) mechanism; keep your email account secure.
4. Subscriptions, plans and billing
4.1 Paid plans are billed in advance on a recurring basis through our payment processor (Stripe). Prices, included seats, and monthly usage allowances ("quotas") are shown in-app and may be changed prospectively on notice.
4.2 Usage quotas. Each plan includes a number of analyses per calendar month. When you reach your quota, further analyses are blocked until the next period or until you upgrade. Free trials and any complimentary access we grant may be limited or withdrawn at our discretion.
4.3 Renewals and cancellation. Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. You may cancel at any time; cancellation takes effect at the end of the current paid period and, except where required by law, fees already paid are non-refundable.
4.4 Taxes. Prices are exclusive of taxes unless stated; you are responsible for any applicable taxes.
4.5 Statutory rights. Nothing in these Terms removes any non-excludable consumer rights you have under the law of England and Wales or the mandatory consumer-protection law of your country of residence.
5. Acceptable use
You agree not to: (a) use the Service for any unlawful purpose; (b) upload content you have no right to process, or that infringes others' rights; (c) attempt to reverse engineer, scrape, overload, or circumvent usage limits or security; (d) resell or provide the Service to third parties except as expressly permitted; or (e) use outputs in a way that presents AI-generated drafts as qualified legal advice. We may suspend or terminate accounts that breach this section.
6. Your content and data
6.1 You retain all rights in the documents and inputs you submit ("Customer Content"). You grant us a limited licence to process Customer Content solely to provide and support the Service.
6.2 Our processing of personal data is described in the Privacy Policy and, where we act as your processor, the Data Processing Agreement (DPA), which are incorporated into these Terms.
6.3 Sub-processors. We use third-party sub-processors to run the Service, including the AI model provider (Anthropic), our hosting provider, and our payment processor (Stripe). Where the Service is configured to use a locally-hosted model (Ollama), inputs for that path are processed on our own infrastructure. The current list is maintained in the DPA.
6.4 Uploaded documents are deleted automatically once older than the configured retention period (90 days by default). Analysis outputs are retained for the life of your account as your own work product, and are deleted on request, subject to our legal obligations. Full detail, including our AI provider's own 30-day retention window, is in the Privacy Policy / DPA.
7. Intellectual property
The Service, including its software, skill prompts, and branding, is owned by Jadthena Limited or its licensors and is protected by intellectual-property laws. Certain skill prompts are adapted from Anthropic's open-source "claude-for-legal" project under the Apache-2.0 licence (see our NOTICE). Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Service during your subscription. As between you and us, you own the outputs generated from your Customer Content, subject to the model provider's terms.
8. Third-party services
The Service relies on third-party providers. Their availability and terms may affect the Service. We are not responsible for third-party services outside our control, though we will use reasonable efforts to maintain the Service.
9. Disclaimers and limitation of liability
9.1 The Service is provided "as is" and "as available". To the maximum extent permitted by the law of England and Wales, we disclaim all implied warranties, including fitness for a particular purpose and that outputs are accurate, complete, or fit for any legal purpose.
9.2 To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Service in any 12-month period is limited to the fees you paid us for the Service in that period. We are not liable for indirect or consequential loss, loss of profit, or loss arising from your reliance on an output without qualified legal review.
9.3 Nothing in these Terms excludes liability that cannot be excluded under the law of England and Wales (for example, for death or personal injury caused by negligence, or for fraud).
10. Indemnity
You agree to indemnify Jadthena Limited against claims arising from your breach of these Terms, your Customer Content, or your use of outputs without appropriate legal review, to the extent permitted by law.
11. Suspension and termination
We may suspend or terminate access for breach of these Terms, non-payment, or where required by law. You may stop using the Service and cancel at any time. Sections that by their nature should survive termination (including 2, 6–10, 12) survive.
12. Changes, governing law and disputes
12.1 We may update these Terms; material changes will be notified in-app or by email and take effect prospectively.
12.2 These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory consumer-protection rights in your country of residence.
